Terms of Service

1. Agreement

By engaging Apex Agency Ltd ("Apex Agency", "we", "us") for any service, or by using our website at apexagency.ltd, you agree to these Terms of Service. If you do not agree, do not use our services or website.

2. Services

Apex Agency provides digital marketing services including but not limited to:

  • SEO and Google Rankings
  • AI Automation (chatbots, workflow automation)
  • Web Development and Web Applications
  • Social Media Chatbots and Lead Generation
  • Google Business Profile Optimisation

The specific scope, deliverables, timeline, and fee for each engagement are agreed in writing before work commences.

3. The 90-Day Guarantee

Our SEO and Google Rankings service comes with a 90-day top-3 guarantee. If we do not achieve a top-3 Google ranking for the agreed target keywords within 90 days of campaign launch, you are entitled to a full refund of the service fee paid. This guarantee applies only where the client has provided timely access to required accounts, implemented recommended on-site changes, and has not made changes that conflict with the campaign strategy.

4. Payment

Fees are agreed in writing before work begins. Payment terms (upfront, milestone-based, or monthly) are specified per engagement. All fees are quoted in Mauritian Rupees (MUR) unless otherwise stated. Late payments may result in work being paused until the outstanding balance is settled.

5. Client Responsibilities

To enable us to deliver results, clients agree to:

  • Provide timely access to relevant accounts (Google, website, social media)
  • Review and approve content within agreed timeframes
  • Implement on-site recommendations where required
  • Notify us of any changes to their business that may affect the campaign

6. Intellectual Property

Upon full payment, clients own all deliverables created specifically for them (content, designs, web builds). Apex Agency retains ownership of any proprietary tools, frameworks, or methodologies used in delivery.

7. Limitation of Liability

Apex Agency's total liability for any claim arising from a service engagement shall not exceed the total fees paid by the client for that specific engagement. We are not liable for indirect, consequential, or incidental damages. SEO results depend on search engine algorithms outside our control; our guarantee is limited to the refund terms in Section 3.

8. Termination

Either party may terminate an ongoing engagement with 14 days' written notice. Fees for work completed up to the termination date are non-refundable unless covered by the guarantee in Section 3. Monthly retainer clients who cancel mid-month are not entitled to a pro-rata refund.

9. Governing Law

These terms are governed by the laws of the Republic of Mauritius. Any disputes shall be resolved through negotiation in the first instance, and thereafter through the courts of Mauritius.
